1. Acceptance of Terms

By accessing this website and engaging with Verpex Solutions Pty Ltd for software architecture, development, or consulting services, you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to abide by these terms, please do not use our services.

2. Provision of Services

Verpex Solutions Pty Ltd provides enterprise software architecture, infrastructure deployment, and custom software development. The specific scope, deliverables, timelines, and costs of any project will be detailed in a separate, mutually agreed upon Statement of Work (SOW) or Service Level Agreement (SLA).

3. Client Responsibilities

To ensure the successful delivery of our services, clients are expected to provide timely access to necessary technical environments, documentation, and personnel. Delays in providing required assets or approvals may impact project timelines and delivery dates.

4. Intellectual Property Rights

Upon final payment for custom development services as outlined in a specific SOW, Verpex Solutions Pty Ltd transfers the intellectual property rights of the custom-written code to the client. Verpex Solutions Pty Ltd retains the rights to any pre-existing code libraries, open-source frameworks, and general architectural patterns used during the development process.

5. Confidentiality

Both parties agree to keep all proprietary information, trade secrets, and business strategies disclosed during the course of the engagement strictly confidential. We treat your infrastructure and codebase with the highest level of security and discretion.

6. Limitation of Liability

While we engineer systems for maximum stability, Verpex Solutions Pty Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the deployed services.

7. Governing Law

These Terms shall be governed and construed in accordance with the laws of South Africa, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

8. Changes to Terms

We reserve the right to modify or replace these Terms at any time. We will try to provide at least 30 days notice prior to any new terms taking effect for active clients. What constitutes a material change will be determined at our sole discretion.
